Pluxee User Service Agreement (hereinafter referred to as “this Agreement”) is entered into between Shanghai Sodexo Pass Service Limited (hereinafter referred to as “we/our/us”) and you to provide you with a secure and convenient Pay service. We requests that you carefully read and fully understand the terms of this Agreement, in particular the terms that exempt or limit our liability, limit your rights, and provide for the resolution of disputes (the text is indicated in bold).
I. Confirmation and acceptance of Pluxee User Service Agreement
1. This Agreement helps you to understand the content of the Services we provide and your rights and obligations to use the Services. Please read it carefully. This Agreement is entered into with you when we provide Payment Services through the “Pluxee” mobile App (hereinafter referred to as “mobile App”). This Agreement becomes effective upon your acceptance of registration or use of the relevant services. If you have any questions about the terms of this Agreement, you may contact customer service number at 400-920-6001.
2. If you are a person without civil capacity or a person with limited civil capacity, please read this Agreement and use our Pay Service under the guidance of your guardian; if you are a user outside mainland China, you shall also abide by the laws of your country or region. If your country or region excludes all or part of this Agreement, you shall immediately stop using our Pay Service; Otherwise, your continued use will be deemed as your consent to bear the relevant legal risk or liability.
3. We have the right to unilaterally modify or change the content of this Agreement when necessary, and will publish it in an appropriate way through the mobile App. The modified Agreement shall take effect upon the expiration of the publication period. If you continue to use our Pay Services after the Agreement becomes effective, you shall mean that you accept the modified Agreement and will use our Pay Services in accordance with the modified Agreement; if you do not agree, you should voluntarily discontinue the Pay service immediately.
4. If you want to use all the services provided by us and this Agreement, you must accept all the terms of this Agreement. The registration or use of the service of the mobile App shall be deemed as the confirmation and acceptance of all terms of this agreement.
II. Definitions related to our Pay Services
1. Sodexo/We/Our/Us: it means Shanghai Sodexo Pass Services Limited, the operator of “Pluxee” mobile APP.
2. Card(s): it means a payment tool issued by Shanghai Sodexo Pass Services Limited on behalf of enterprises, institutions, groups, organizations or individuals for their employees or individuals to consume at our specially engaged merchants.
3. Pluxee: it means the mobile App and related services operated by Shanghai Sodexo Pass Services Limited.
4. Registration: it means that you can use part of the functions of the mobile app after you have completed the registration through the necessary verification methods for authentication in accordance with the methods provided by the mobile App.
5. User name: it means the name you use when registering according to the way provided by the mobile App. The user name can be a combination of letters and numbers and cannot be changed once it is determined.
6. Account: it means the payment account that you obtain after registration, binding to your Card(s) and passing our authentication for the use of the Payment Service. Except as otherwise provided herein, only Account Holder may use the Account Services.
7. Identity elements: it means the elements of information we use to identify your identity, including but not limited to your user name, account, password, SMS verification code, secure payment prompt, phone number, mobile phone number, identity information, fingerprint information, face information, iris information, etc.
8. Authorized authority: it means the unit that has the right to request inquiry, freeze or withhold funds and other measures according to laws and regulations, including but not limited to public security, procuratorate, court, customs, taxation and other authorities.
9. Freeze: it means a freeze requested by a competent authority. The frozen account balance cannot be used for payment, withdrawal, etc., and the frozen account cannot be logged in or used.
10. Restriction: it means the inability to use part or all of the functions of the account, as well as the related assets and balance of the account, except in the case of freezing.
11. Stop payment: a restriction that means the account balance cannot be used, for example, for payment, withdrawal, etc.
12. Account balance: the difference between the amount charged into your card(s) account and the amount spent.
III. Our Pay Service Contents
The Pay Service is a non-financial institution payment service provided to you by us, which is embodied in collection and payment service, including:
1. The entire process from the time your payment is entered into our account to the time we payall or part of the said amount to our Merchants in accordance with your instructions.
2. When you enter into a return agreement with our Specialized Merchant, the entire process from the time when the Specialized Merchant issues an instruction to us to pay the foregoing amount in whole or in part into your account to the time when such amount is credited into your account.
Upon completion of the Payment Service, this instruction shall be irrevocable and irrevocable without legal proceedings or in accordance with the provisions of this Agreement.
The functions of our Pay Service are as follows:
1. Consumption. You can use the balance of your account within a certain limit to make consumption at the Specialized Merchants.
2. Account balance query. You can check the balance of your bound account through the mobile App. Unless otherwise stipulated in this Agreement, the amount of consumption and balance shall be adjusted in accordance with the Administrative Measures for Prepaid Card Business of Payment Institutions and other regulatory regulations, and the details shall be subject to the actual display or operation prompts.
IV. Our Pay Service Fee
We have the right to define and adjust the Pay Service Fee standard. We will charge for the account and the services provided, the details you can refer to “Card Charter”(普乐斯章程) which is published in our Website, or the notification shown during the service period.
V. Registration and use of our Pay Service
(I) Registration
1. You can register according to the prompt of the mobile App. After you register, you can use some mobile App services. If you want to access our Pay service, you can also get an account by binding your card. In the process of binding your card, you need to verify through the identity element, and the specific verification method is subject to the prompt of the mobile App.
2. The user name and avatar you set in your account must comply with laws and regulations, public order and good customs, and social ethics norms, and will not infringe the legitimate rights and interests of a third party, otherwise we have the right to cancel your user name and avatar.
(II) Using
We shall have the right on the basis of the Anti-money Laundering Law of the People’s Republic of China, the Payment Institution Anti-money Laundering and Counter-terrorism Financing Management Method , Payment Institutions Prepaid Card Business Management Approach and so on related provisions to take effective way through identity elements on your client identification, identity element is we identify your identity on the basis of. Any action or instruction given using an identity element is deemed to have been done by you. If account, password and other information is misused, misappropriated or illegally used for your reasons, you shall be liable for all risks, liabilities, losses and expenses caused thereby.
You agree to:
1. Based on different terminals and your usage habits, we have the right to take different verification measures to identify your identity.
2. In order to ensure the security of your funds, please do not set the password of your account to be the same as that of your mobile phone and other devices. At the end of the period of continuous login, please log out. If you find that your card account and password are misused or misused by others, or your mobile phone or other related equipment is lost, please notify card immediately in an effective manner (such as calling our customer service number 400-920-6001) and apply to us for freezing your card or account balance. You understand that it takes a reasonable amount of time for us to take action on your request. If we fail to take effective measures within a reasonable period of time, resulting in increased losses to you, we will be liable for the increased losses, but we will not be liable for any instructions that have been executed prior to taking action.
3. The account is for your own use only and cannot be transferred, borrowed, donated or inherited, but the account balance and related property interests of card bound can be inherited according to law.
4. In order to provide you with a better service, we may temporarily provide some service functions for upgrading or opening new service functions based on the needs of operation and transaction security. You still agree to continue to use the Pay Service in accordance with this Agreement when the functions change, increase or decrease.
5. In order to maintain a good network environment, we have the right to know the true trading background and purpose of your use of the Services to the extent necessary, and you shall provide true, comprehensive, effective and accurate information as required by us. If we find abnormal, suspicious transactions, or in violation of the provisions of laws or other improper conduct, we have the right to advance without further notice to suspend, suspend or terminate the account of the use (including but not limited to the money to the account name and transit trade to cancel the deal, suspension of settlement and other restrictions), and deny you access to some or all of the Payemt Service.
6. We have the right to adjust the limit and functions of your account and use in accordance with the Administrative Measures for Prepaid Card Business of Payment Institutions and the Notice on Matters Concerning Strengthening Payment and Settlement Management and Preventing New Crimes in Telecommunication Networks and other relevant regulations. At the same time, if your identity verification and transaction verification meet (or fail to meet) relevant regulations, we reserve the right to enable (or close) relevant functions on your account, increase (or reduce) the transaction limit, and require you to submit relevant information. We reserve the right to suspend, limit or terminate the Pay Service if you refuse to do so, or if the information submitted does not comply with the relevant regulations.
VI. Precautions for using our Pay Service
In order to effectively protect your legitimate rights and interests when using our Payment Service, we remind you to pay attention to the following matters:
(I) Authentication
1. When you register for the mobile App use the Pay Service, please provide legal, true, valid, accurate and complete identity information (including but not limited to your ID card and ID card number, household registration book, passport and contact information). You should ensure that the email address or mobile phone number attached to your account is yours. If you are taking up other people’s email or phone number, we may remove this email or phone number from your membership number or account and remove the connection in order to avoid to inconvenience email or phone number holder or adverse effect, also for your capital safety.
2. In the event of any of the following circumstances, please actively cooperate with us to check your valid ID card or other necessary documents, and you shall complete relevant identity verification according to our requirements:
(1) You request to change your identity information or your identity information has expired;
(2) We consider that your use behavior or usage is abnormal;
(3) We consider that there is any doubt in the identity information or relevant information provided by you, or we consider that there is any doubt in the identity information or relevant information provided by you in the course of providing services to you;
(4) In any other circumstances where we consider it necessary to check or retain your identification or other necessary documents.
3. In order to meet the requirements of the relevant regulations, you agree to provide your identity information to complete the authentication as required by us and at the time of notice, otherwise you may not be able to make purchases or other operations, and we may stop or freeze your card(s) and account.
(II) We may stop payment, suspend or terminate the provision of our Pay Services in your account under the following circumstances, and has the right to restrict the product or service functions you use (including but not limited to stop payment, cancel transaction, adjust account and other restrictions on payments in your account and transactions in transit) :
(1) You have violated the provisions of this Agreement;
(2) In accordance with laws, regulations and legal documents;
(3) At the request of a competent authority;
(4) There is any abnormality in your account operation or capital flow;
(5) Your account may cause risks;
(6) Other people transfer funds into your account balance by mistake, etc., which may cause you to make improper profits;
(7) You have been complained by others, and the other party has provided some evidence;
(8) You may operate other people’s account by mistake.
In addition to the circumstances specified in (2) and (3), if you apply for the resumption of services or the lifting of the above restrictions, please provide us with relevant information and proof of identity information and other documents for our verification. We will resume relevant services and lift the above restrictions if no error is found, or appropriate measures have been taken to eliminate the impact of the above actions, or compensation has been made for the corresponding losses.
(III) Our Payment Service Rules
1. We will deduct the balance of your account according to your payment order.
2. When you make payment by scanning the code, you can complete the payment within a certain amount without entering the password. We will deduct the balance of your account according to the amount determined by our specially engaged merchant and make the corresponding payment to the specially engaged merchant.
3. The usage records and transaction data of your approved account shall be subject to the records of our system. If you have any objection to such data, you may raise an objection to us in a timely manner and provide relevant evidence for our verification.
4. When you use our Pay Service, any of the following circumstances will result in unsuccessful payment:
(1) Your account balance is insufficient;
(2) Your account has been stopped, frozen or other measures restricting access to it;
(3) Exceed payment or account balance limits set by regulatory authorities or us.
5. When you use the Pay Service, the content of this agreement, the operation prompts appearing on the mobile App page or the information sent to the mobile phone by us are the relevant rules for your use of the Pay Service.
6. We will send you a notice or prompt you to perform relevant operations by means of email, SMS, phone call, in-station letter or client notification. Please pay attention to it in a timely manner.
7. Service consultation and complaint
If you encounter any problems during the use of Pay service, you can contact us by calling our customer service number 400-920-6001. If you are complained by others or complaints against others, we have the right to provide necessary information related to your complaint to the other party or relevant departments of the dispute, so as to solve the complaint and dispute in a timely manner and protect the legitimate rights and interests of you and others;except as otherwise provided by laws and regulations.
(IV) Our Pay Service’s commitment and representation of the Service
1. We will manage the funds collected or paid by you on your behalf in strict accordance with laws, regulations or regulatory requirements of competent authorities. The account balance recorded in the account is, in essence, the prepaid value that you have entrusted to us and that belongs to you. The monetary funds corresponding to this prepaid value belong to you, but are not deposited in the bank in your name, but in a special bank account in our name and are only issued by us to the bank in accordance with your instructions.
2. We are a payment institution that issues and accepts prepaid cards. We are not a bank. In accordance with relevant laws and regulations, you shall operate any service under this Agreement within the balance of your account and the relevant limit. We would like to draw your attention to the fact that account balances recorded in accounts, unlike your own bank deposits, are not protected by the Deposit Insurance Regulations.
(V) Trading risk reminder
If you or your counterparty fail to comply with this agreement or the operating instructions and rules on the relevant transaction or payment page when using our Pay Service, we shall have the right to refuse to provide the service to you and the counterparty, and we shall not be liable for damages. In the event of the foregoing and the payment has been credited to your account in advance, you agree that we have the right to directly deduct the corresponding amount from the relevant account balance and/or prohibit your right to demand payment of such amount.
VII. User’s commitment to use our Pay Service lawfully
1. You shall comply with the relevant laws and regulations of the People’s Republic of China and the laws and regulations of the country or region where you reside and shall not use the Pay Services for any illegal purpose or use the Pay Services in any illegal way.
2. You may not use our payment services for or infringes on the lawful rights and interests of the behavior in violation of state laws and regulations, otherwise, we have the right to investigate, delay or refuse or stop provide payment services, and you should bear all relevant legal liability independently, thus result in us or our employees or other parties damaged, you should bear the liability for compensation.
3. Where 1 and 2 above apply, including but not limited to:
(1) Infringement of others’ rights of reputation, privacy, trade secrets, trademarks, Copyrights, patents and other legitimate rights and interests.
(2) Violation of confidentiality obligations prescribed or agreed in accordance with the law.
(3) Using the Pay Service in the name of another person.
(4) Engaging in illegal transactions, such as money laundering and terrorist financing.
(5) Provide gambling information or in any way induce others to participate in gambling.
(6) Unauthorized use of other people’s accounts and bank cards.
(7) Engage in any behavior that may infringe Payment Services system or data.
4. You understand that our Pay Services depend on the accurate operation and operation of the System. You agree that we may take appropriate corrective actions, such as correcting errors, deducting payments, etc. in the event of any system error, malfunction or other cause of display error or improper profit by you or us.
VIII. Protection of rights and interests and privacy
(I) Guarantee of customer rights and interests
In order to protect your legal rights and interests when using the Services, we undertake to protect your legal rights and interests.
(II) User’s fund guarantee
We have always attached great importance to the protection of the security of users’ funds. It keeps its own funds and users’ funds separately and promises not to misappropriate or occupy users’ funds. If you lose funds due to the theft of your account balance during the use of our Payment Services, which is not caused by our fault, we will, with the consent of us, assist you to recover from the relevant responsible third parties or indemnification agencies. If funds are lost due to the theft of your account balance due to our fault, we will compensate you upon verification. Unless otherwise agreed between you and us.
(III) Privacy protection
We value the protection of your privacy. Your identity information and other specific information are protected and regulated in accordance with relevant laws and regulations such as the Administrative Measures for Payment Services of Non-financial Institutions. We will take reasonable measures to protect your personal information. We will not disclose your personal information to a third party without the permission of the user, unless otherwise stipulated by laws and regulations. Our services may include links to partner websites, advertisers and affiliates. When linking to these sites, you should read the privacy policy posted on the site. We assumes no responsibility for the privacy policies or their enforcement on other sites. Please check the privacy policies of these sites before submitting any personal information.
In the process of registering and using our services, we will process your identity elements, which may either be collected by us or provided to us by you. For example, you need to fill in your mobile phone number when registering; The function of finding restaurants needs to use your geographic location information, etc. We will collect and use the personal information provided by you when using our services for the purposes mentioned in this agreement in accordance with relevant laws and regulations and the principles of legitimacy, lawfulness, rationality and necessity. No matter how we collect and use your personal information, in principle, we will only do it with your consent, and we will not collect personal information absolutely prohibited by laws and regulations. You can choose not to provide some information. If you choose not to provide some information, you may not be able to normally use some services, but this will not affect other services.
If we want to use your personal information for other purposes not specified, we will inform you through our official website, the mobile App supported by us or other reasonable ways to obtain your consent.

IX. Force Majeure, Disclaimer and Limitation of Liability
(I) Disclaimer clauses
We shall not be liable for the failure of us to provide its services due to:
1. Our system downtime for maintenance or upgrade;
2. Force majeure, such as typhoon, earthquake, flood, lightning or terrorist attack;
3. Failure of the user’s electronic equipment hardware and software, communication lines and power supply lines;
4. User’s improper operation or use of the Pay Service in a way not authorized or approved by us;
5. Virus, Trojan horse, malicious program attack, network congestion, system instability, system or equipment failure, communication failure, power failure, banking problem, third-party service defect or government action and other reasons.
Notwithstanding the provisions of the preceding paragraph, we will take reasonable action or actively cooperate to facilitate the resumption of normal services.
(II) Our scope of liability and limitation of liability
1. Our User Information is provided by the User himself, and we cannot guarantee the accuracy, validity and completeness of such information.
2. You and our Merchant shall bear all transaction risks and resolve disputes on their own. We shall not be liable for any disputes that may arise between you and our Merchant.
X. Protection of intellectual property rights
1. All contents on the mobile app, including but not limited to works, pictures, files, information, materials, website structure, layout of website images and web page design, shall be legally owned by us or its affiliates, including but not limited to trademark right, patent right, copyright, trade secret, etc.
2. Your use of our Pay Service may require you to download software provided by us from which we have original rights or is licensed. We grant you a non-transferable, non-exclusive and non-exclusive license to use such software. You may use the software only for the purpose of using our Pay Services. Except as otherwise expressly stated, the copyright, patent and other intellectual property rights of the software on which we provide the Pay Services are owned by us.
3. The relation between by us or the company written agree, no unauthorized use, reverse compile, copy, modify, compile, integration, tampered with, open communication, change, spread, issued or published mobile App program (including but not limited to, source code, object program, technical documents, the App to the server data, server) or content.
4. It is your obligation to respect intellectual property rights. If you violate intellectual property rights, you will be liable for damages.
XI. Entire Agreement
1. If any part of the terms of this Agreement is invalid or unenforceable for any reason, the remaining terms shall remain valid and binding on you and us.
2. Any translated version of this Agreement is provided for the convenience of users only and it is not intended to modify the terms of this Agreement. In the event of any conflict between the Chinese version of this Agreement and the non-Chinese version, the Chinese version shall prevail.
XII. Application of Law and Jurisdiction
1. The validity, interpretation, modification, execution and dispute resolution of this Agreement shall be governed by the laws of the People’s Republic of China.
2. The signing place of this Agreement is Shanghai Changning District People’s Republic of China.
3. Any dispute arising from this Agreement shall be settled in accordance with the laws of the People’s Republic of China and shall be subject to the jurisdiction of the people’s court at the place where this Agreement is signed.
